Buzz360 Terms of Service

These Terms of Service (“Terms”) govern access to and use of the products and services provided by Buzz360, LLC(“Buzz360,” “we,” “us,” or “our”), including our websites, software platforms, applications, APIs, and related services (collectively, the “Services”).

By accessing or using the Services, you agree to these Terms. If you do not agree, you must not use the Services.

1. Definitions

Services
Buzz360 websites, SaaS platforms, APIs, mobile applications, and related services including products such as SwipeRed.

Customer
The organization or individual using or purchasing the Services.

Authorized Users
Individuals permitted by the Customer to access the Services.

Customer Content
Any data, information, lists, contact information, message content, files, or materials uploaded or entered into the Services.

Voter Data
Voter registration or election-related data obtained from government agencies or legally authorized sources.


2. Eligibility

You must be at least 13 years old to use the Services.

If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.


3. Accounts

To access certain features, you may need to create an account.

You agree to:

  • provide accurate registration information
  • maintain the confidentiality of login credentials
  • notify Buzz360 immediately of unauthorized account access

You are responsible for activity occurring under your account.


4. Subscription Terms

Unless otherwise specified in a written agreement:

Buzz360 Platform

Minimum term: 12 months

Subscriptions automatically renew for additional 12-month periods unless terminated in writing at least 60 days prior to renewal.

SwipeRed

Minimum term: 3 months

Subscriptions automatically renew for 90-day periods unless terminated in writing at least 30 days prior to renewal.

Termination notices may be sent to terms@buzz360.co.


5. Payment and Suspension

Customers agree to pay all applicable fees.

If payment is overdue, Buzz360 may suspend or disable Services, including hosted websites, messaging capabilities, or other platform functionality the day after the due date.

Suspension is an agreed contractual remedy.


5.1 Data Access Suspension and Retention for Non-Payment

If a Customer fails to pay fees when due, Buzz360 may suspend access to the Services and restrict the Customer’s ability to access Customer Content stored within the Services until all outstanding balances are paid.

During any suspension for non-payment, Buzz360 may retain Customer Content and associated account records but is not obligated to provide access to such data until payment obligations are satisfied.

Buzz360 will not intentionally delete Customer Content solely due to non-payment unless the account remains unpaid for over 30 days or termination occurs in accordance with these Terms.

Customers acknowledge that failure to maintain active payment may result in temporary loss of access to platform functionality, hosted websites, messaging systems, or stored data.


6. Customer Content and Data Ownership

6.1 Ownership of Customer Content

Customer retains ownership of all Customer Content submitted to the Services.

Buzz360 does not claim ownership of campaign strategy, messaging, creative materials, or contact lists submitted by customers.


6.2 License to Operate the Services

Customer grants Buzz360 a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, and display Customer Content as necessary to:

  • operate the Services
  • provide support and technical maintenance
  • maintain system reliability and security
  • comply with legal obligations
  • enforce these Terms

6.3 Service Providers

Buzz360 may use trusted third-party service providers to operate portions of the Services, including:

  • Mailgun (email delivery)
  • Twilio (SMS,MMS, RCS messaging calling)
  • cloud infrastructure providers
  • analytics providers
  • payment processors

Customer authorizes Buzz360 to share Customer Content with these providers solely for the purpose of operating the Services.


6.4 Artificial Intelligence and Machine Learning

Buzz360 may use Customer Content and other data generated through use of the Services to develop, train, operate, and improve machine learning models, artificial intelligence systems, predictive analytics tools, and other automated technologies used in connection with the Services.

Where reasonably practicable, Buzz360 will use aggregated, anonymized, or de-identified data for these purposes.

AI models may analyze, classify, score, or tag records within a Customer’s dataset (for example identifying individuals who are more likely to volunteer, donate, or engage with a campaign). These analyses are intended to assist customers in organizing outreach, engagement, or campaign activities.

All machine learning models, algorithms, and related intellectual property created through operation of the Services are the exclusive property of Buzz360.


6.5 Derived Data and Analytics

Buzz360 may generate statistical analyses, predictive models, targeting scores, behavioral insights, engagement likelihood indicators, volunteer likelihood indicators, or other classifications derived from Customer Content or system usage.

These scores and classifications may be applied to records within a Customer’s dataset to assist the Customer in prioritizing outreach or engagement efforts.

Derived Data will not contain information that directly identifies an individual person or specific customer organization outside that Customer’s own dataset.

All Derived Data and associated intellectual property rights belong exclusively to Buzz360.


6.6 Modeling Disclaimer

Predictive models, classifications, and scores generated by the Services are based on statistical analysis and machine learning techniques and are provided for informational and organizational purposes only.

Buzz360 does not guarantee the accuracy, completeness, or effectiveness of predictive models or classifications, and customers remain solely responsible for decisions made based on such outputs.


6.7 No Guarantee of Campaign Outcomes

The Services may provide analytics, predictive models, classifications, scores, or other informational outputs intended to assist customers in organizing outreach, engagement, fundraising, or campaign activities.

Political campaigns, elections, and voter behavior involve numerous external factors outside the control of Buzz360.

Buzz360 does not guarantee that use of the Services will achieve any particular political, fundraising, volunteer recruitment, or electoral outcome.

Customers remain solely responsible for decisions made based on outputs generated by the Services.


7. Compliance with Law

Customers are responsible for complying with all applicable laws and regulations, including:

  • campaign finance laws
  • election laws
  • privacy and data protection laws
  • the CAN-SPAM Act
  • the Telephone Consumer Protection Act (TCPA)
  • Do-Not-Call rules

Customers are responsible for obtaining any required consent before sending communications through the Services.

Buzz360 does not provide legal advice regarding regulatory compliance.


8. Campaign Compliance Responsibility

Customers are solely responsible for ensuring that their use of the Services complies with all applicable election laws, campaign finance regulations, and political communication requirements.

Buzz360 provides software tools and data services but does not participate in campaign strategy, messaging decisions, fundraising activities, or legal compliance determinations.

Customers agree to indemnify Buzz360 from claims arising from election law violations related to their use of the Services.


9. No Campaign Agency or Strategic Role

Buzz360 provides technology services and data tools only.

Buzz360 does not act as a political consultant, campaign strategist, fundraising advisor, or advertising agency for any customer.

Use of the Services does not create an agency, partnership, joint venture, consulting relationship, or advisory relationship between Buzz360 and any campaign, candidate committee, or political organization.


10. Political Data Firewall and Non-Coordination Policy

Buzz360 provides software and data services to various political organizations, including candidates, parties, and independent expenditure organizations.

Buzz360 maintains internal policies designed to prevent the sharing of confidential campaign information between customers whose activities may legally need to remain independent.

Buzz360 employees and contractors may not knowingly share campaign strategy, targeting information, or other confidential Customer Content between separate customers.

Customers remain solely responsible for ensuring their activities comply with laws governing coordination and independent expenditures.


11. Voter Data

Where Services include Voter Data:

  • Voter Data may only be used for lawful political purposes
  • Voter Data may not be used for unrelated commercial purposes
  • Customers are responsible for ensuring their use complies with applicable law

Buzz360 does not modify voter registration status and cannot add or remove voters from government voter rolls.

Buzz360 may use voter-related information contained within Customer Content in aggregated or de-identified form for analytics and service improvement where permitted by law.


12. Acceptable Use Policy

Customers may not use the Services to:

  • violate any law or regulation
  • send spam or unsolicited communications 
  • conduct phishing or fraudulent activity
  • upload malware or malicious code
  • access other users’ data without authorization
  • scrape platform data outside authorized interfaces
  • disrupt platform infrastructure

Buzz360 may suspend or terminate accounts violating this policy.


13. Messaging and Email Use

Customers using messaging features must:

  • obtain and record proper consent before sending SMS, MMS, or email 
  • honor opt-out requests promptly
  • maintain suppression lists where required
  • comply with applicable laws and provider policies

Buzz360 may restrict messaging activity where complaint rates or compliance risks threaten service providers.


14. Mobile Messaging Program Terms

Buzz360 may send SMS, RCS or MMS messages regarding:

  • product updates
  • system alerts
  • newsletters or events
  • billing notifications

Message frequency varies but typically fewer than two messages per week.

Message and data rates may apply.

Buzz360 uses Twilio to deliver mobile messages.


15. Third-Party Services

The Services may integrate with third-party services.

Buzz360 is not responsible for third-party services or their policies.


16. Disclaimer

The Services are provided “AS IS.”

Buzz360 does not guarantee uninterrupted or error-free operation.


17. Limitation of Liability

To the maximum extent permitted by law:

Buzz360 is not liable for indirect, incidental, or consequential damages.

Buzz360’s total liability will not exceed the amount paid for Services during the 6 months preceding the claim.


18. Indemnification

Customer agrees to indemnify Buzz360 from claims arising from:

  • Customer Content
  • communications sent through the Services
  • violations of law
  • misuse of the Services

19. Termination

Buzz360 may terminate or suspend Services for:

  • violation of these Terms
  • non-payment
  • unlawful activity
  • security risks

20. Government and Legal Requests

Buzz360 may disclose Customer Content or account records to comply with court orders, subpoenas, or lawful government requests.

Buzz360 may cooperate with election regulators or law enforcement investigating alleged violations of law.

Buzz360 is not liable for disclosures made in good-faith compliance with legal obligations.


21. Data Preservation

Buzz360 may retain Customer Content or system records where necessary to:

  • comply with legal obligations
  • respond to regulatory requests
  • investigate violations of these Terms
  • protect the integrity of the Services

Data may be retained after account termination where required for legitimate legal or operational purposes.


22. Governing Law

These Terms are governed by the laws of the State of Minnesota.

Disputes must be resolved in courts located in Dakota County, Minnesota.


23. Changes to the Terms

Buzz360 may update these Terms periodically.
